NOTICE OF THE ANNUAL AND SPECIAL MEETING OF MEMBERS

TAKE NOTICE that the Annual and Special Meeting of Members of WOMEN IN CAPITAL MARKETS (the “Corporation”) will be held electronically via Zoom on Wednesday, May 24, 2023 at 6:00 p.m. ET for the purposes of:

1. considering and, if thought fit, accepting the audited financial statements of the Corporation for the year ended December 31, 2022 and the auditors’ report thereon;
2. electing directors of the Corporation for the coming year;
3. appointing auditors for the coming year and, if thought fit, authorizing the directors to fix their remuneration;
4. amending the articles of incorporation of the Corporation to change the name of the Corporation from “Women in Capital Markets” to “VersaFi”, or such other name that the board of directors determines is appropriate and is accepted by relevant regulatory authorities; and
5. transacting such other business as may properly come before the meeting or any adjournment thereof.
